2. 경제학적 관점
기업조직의 본질에 대해 그간 경제학 분야에서 제시된 이론을 정리하면 대체로 시장이론, 통제이론, 소유권이론, 착취이론 등 네 가지의 이론으로 범주화될 수 있다.보다 자세한 논의에 대해서는 보울스(Bowles, 1985), 밀그롬과 로버츠(Milgrom and Roberts, 1992), 그리고 성경륭(1996)을 참고할 것
첫째, 왈라스 모델(Warlasian model)로도 불리는 시장이론은 기업조직을 ‘자유계약의 덩어리’(bundle of free contracts)로 파악한다. 이 이론에 따르면 경쟁시장의 가격기제에 구속되는 기업조직은 생산의 투입요소와 산출을 매개하는 계약의 연결체로서 시장적 거래와 구별되는 어떠한 조직적 실체도 갖지 못한다고 한다. 따라서 일련의 계약체계에 불과한 기업조직은 단순히 하나의 ‘법률적 허상’(legal fiction)이며 기업의 내부조직은 시장과 동일한 것으로 이해된다 (Jensen and Meckling, 1976; Fama, 1980).
둘째, 통제이론은 기업조직내에서 이루어지는 자원배분과 생산활동이 기본적으로 시장 메카니즘과 다른 방식으로 이루어진다는 점을 지적한다. 이 이론은 시장에서의 높은 거래비용(transaction), 즉 정보의 불확실…(생략)
